2. Scope

These Terms apply to the use of the MAXPRIMACY website.

They do not by themselves govern professional services supplied by MAXPRIMACY to a client.

Professional engagements are governed separately by the applicable:

  • Master Services Agreement or Master Services Terms;
  • Statement of Work;
  • Order Form or other engagement document;
  • Data Processing Addendum, where applicable;
  • amendments, Change Orders or other documents expressly incorporated into an engagement.

If there is a conflict between these Website Terms and a specific client agreement concerning professional services, the client agreement governs that engagement.

3. Acceptance of These Terms

By accessing or using this website, you acknowledge these Terms and agree to comply with the rules governing use of the website.

If you do not agree with these Terms, you should not use the website.

Your use of the website does not constitute acceptance of any Master Services Agreement, Statement of Work or other professional-services agreement unless the relevant engagement document expressly provides for such a method of acceptance.

4. No Automatic Client Relationship

Accessing this website, reading its materials, submitting an inquiry, completing a qualification form, requesting a meeting or communicating with MAXPRIMACY does not by itself create:

  • a client relationship;
  • an advisory relationship;
  • an agency relationship;
  • a fiduciary relationship;
  • an obligation for MAXPRIMACY to provide services;
  • an obligation for either party to enter into a commercial engagement.

MAXPRIMACY evaluates potential engagements individually.

A professional engagement begins only when the applicable engagement requirements have been satisfied in accordance with the relevant Master Services Agreement, Statement of Work, Order Form or other expressly agreed document.

MAXPRIMACY may decline a potential engagement where we reasonably determine that the proposed work is not an appropriate fit, creates a conflict, cannot be performed within the required conditions, or should not otherwise be accepted.

  • tax advice;
  • accounting advice;
  • financial advice;
  • technical advice;
  • regulatory advice;
  • or a recommendation tailored to a particular organisation.

  • its provision does not unlawfully infringe another person’s rights;
  • you do not intentionally submit malicious code or unlawful material.

Personal data submitted through the website is handled in accordance with our Privacy Notice.

14. Do Not Submit Confidential Information Through General Website Forms

General website forms are intended for initial business inquiries and qualification.

Unless MAXPRIMACY specifically requests otherwise through an appropriate process, please do not submit through a general website form:

  • trade secrets;

  • unpublished commercial strategies;
  • privileged legal materials;
  • confidential customer databases;
  • passwords or authentication credentials;

Where confidential information needs to be exchanged before an engagement, MAXPRIMACY and the relevant party may enter into a separate Non-Disclosure Agreement or establish another appropriate confidential process.

15. Third-Party Websites and Services

The website may contain links, integrations or references to third-party websites, platforms, publications, tools or services.

Such references do not necessarily mean that MAXPRIMACY:

  • controls the third party;
  • endorses all of its content;
  • guarantees its availability;
  • accepts responsibility for its practices.

Independent third-party services are governed by their own terms, privacy notices and policies.

You should review those terms where appropriate.

Some research, articles, charts or analysis may incorporate or refer to data and information obtained from third-party or public sources.

Rights in such third-party materials remain with their respective owners.

Where reasonably appropriate, MAXPRIMACY identifies or attributes external sources.

MAXPRIMACY does not warrant that third-party information will remain accurate, complete or available after publication.

17. Website Availability

We aim to maintain a reliable website but do not guarantee uninterrupted or error-free availability.

  • maintenance;
  • security incidents;
  • hosting or infrastructure failures;
  • technical changes;

  • events outside our reasonable control.

We may change, restructure, remove or discontinue any part of the website where reasonably necessary.

You may notify us of a suspected factual or technical error using the contact information provided below.

19. Limitation of Liability

To the maximum extent permitted by applicable law, MAXPRIMACY is not liable for indirect, incidental, consequential or purely economic losses resulting solely from reliance on general website information where no professional engagement exists between MAXPRIMACY and the user.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

23. Governing Law

These Website Terms are governed by the laws of Ukraine, without prejudice to mandatory legal protections that may apply under another jurisdiction and cannot lawfully be excluded.

Any dispute arising exclusively from the use of this website and not governed by a separate client agreement shall be subject to the jurisdiction of the competent courts determined in accordance with applicable law.

Professional engagements may contain their own governing-law and dispute-resolution provisions.

24. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions remain effective to the extent permitted by law.

An invalid provision should, where legally possible, be interpreted or limited in a manner that most closely reflects its lawful purpose.

25. No Waiver

Failure by MAXPRIMACY to enforce a provision of these Terms on one occasion does not constitute a waiver of the right to enforce that provision later.

26. Language

These Terms may be made available in English, Ukrainian and other languages.

The English version is intended to serve as the primary international version of these Website Terms.

Where Ukrainian law requires information or contractual terms to be made available in Ukrainian, a Ukrainian version is provided accordingly.

In the event of an inconsistency between language versions, the English version prevails to the extent permitted by mandatory applicable law, unless a specific document expressly provides otherwise.
